Corporate Governance Officer - Assisting Directors with Appointment and Continuing Education; Providing Information Required for Directors to Perform Duties; and Assisting Directors in Legal Compliance, etc.
The Board of Directors appoints Ms. Tang Jing-Ling, Associate Manager of the Finance Department, as the Corporate Governance Officer, responsible for corporate governance-related affairs, including handling matters related to the Board of Directors, Audit Committee, Remuneration Committee, and Shareholders' Meetings in accordance with the law; assisting directors with appointment and continuing education; providing information required for directors to perform duties; and assisting directors in legal compliance, etc.
In 2023, the Corporate Governance Officer performed the following duties: assisted the Chairman and committee chairs in holding five Board meetings, four Audit Committee meetings, three Remuneration Committee meetings, and the 2022 Shareholders' Meeting; provided directors with continuing education information; provided information required for directors to perform duties; reported legal compliance matters to the Board of Directors quarterly; and promptly handled matters requested by directors.
